4.1. Subscription Plans. The Platform is offered on a subscription basis (monthly or annual). The features, limitations, and pricing of each plan are described on our website or in your Order Form.

4.2. Fees. You agree to pay all fees associated with your selected Subscription Plan. Fees are denominated in Euros (EUR) unless otherwise specified in your Order Form.

4.3. Payment Processing. Payments are processed through Stripe, Inc. ("Stripe"). By providing payment information, you authorize us and Stripe to charge the applicable fees to your designated payment method. Your use of Stripe is subject to Stripe's terms of service.

4.4. Billing Cycle. Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Annual subscriptions are billed at the start of each annual period.

4.5. Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless you cancel at least thirty (30) days before the renewal date.

4.6. Price Changes. We may adjust pricing with at least sixty (60) days' prior written notice. Price changes take effect at the start of the next billing cycle following the notice period.

4.7. Late Payment. Overdue invoices accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We may suspend access to the Platform if payment is overdue by more than fifteen (15) days.

4.8. Taxes. All fees are exclusive of applicable taxes (including VAT). You are responsible for all taxes associated with your subscription, except for taxes based on Aristiun's net income.

  • Scheduled maintenance (with at least 24 hours' prior notice);
  • Force majeure events (as defined in Section 14);
  • Issues caused by your systems, networks, or third-party services;
  • Features explicitly designated as "beta" or "preview."

6.3. Service Credits. If the Platform fails to meet the 99.5% uptime target in any calendar month, you may request a service credit equal to:

6.4. Maintenance. We perform routine maintenance during low-usage windows and provide advance notice for planned downtime via email or the Platform's status page.

7. Intellectual Property

7.1. Aristiun IP. Aristiun and its licensors retain all right, title, and interest in and to the Platform, including all software, algorithms, AI models, user interfaces, documentation, compliance frameworks, report templates, and all related intellectual property rights. Nothing in these Terms transfers ownership of any Aristiun IP to you.

7.3. Feedback. If you provide suggestions, feature requests, or other feedback regarding the Platform ("Feedback"), you grant Aristiun a perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without obligation to you.

7.4. Generated Reports. Security findings, reports, threat analyses, and recommendations generated by the Platform based on your Customer Data are owned by you. The underlying report structure, templates, and formatting remain Aristiun's intellectual property.

8. Limitation of Liability

8.1. Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARISTIUN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ARISTIUN DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.2. Exclusion of Consequential Damages. IN NO EVENT SHALL ARISTIUN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

9.2. Security Findings. AI-generated security findings, threat assessments, compliance reports, and risk scores are advisory in nature. Aristiun does not warrant that the Platform will identify all security vulnerabilities, threats, or compliance gaps. You are responsible for independently validating findings and maintaining your own security programs.

12.3. Language. Arbitration proceedings shall be conducted in English.

13.2. Acceptance of Changes. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms. If you do not agree with any modification, you must discontinue use of the Platform and cancel your subscription before the changes take effect.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, pandemics, war, terrorism, government actions, power outages, internet disruptions, or failures of third-party infrastructure providers, provided the affected party provides prompt notice and uses commercially reasonable efforts to resume performance.
